Partner Program Terms

1. Overview

These terms govern your participation in the Ciniter Hub Partner Program ("Program"). By submitting an application, you agree to be bound by these terms upon acceptance into the Program.

2. Partner Relationship

Partners are independent contractors. Nothing in these terms creates an employment, agency, joint venture, or franchise relationship. You are responsible for your own taxes, insurance, and business expenses.

3. Commission Structure

Partners earn recurring commissions based on the monthly subscription fees paid by businesses they refer to Ciniter Hub. Commission rates are determined by your assigned tier (Bronze, Silver, Gold, or Platinum) and are subject to:

• A commission window (the number of months commissions are earned per referral), which varies by tier.
• Rate snapshots — the rate at the time of referral attribution applies for the lifetime of that referral.
• Minimum payout thresholds that must be met before disbursement.

Specific rates and thresholds are communicated upon acceptance into the Program and are visible in your partner portal.

4. Activity Multiplier & Dormancy

Your commission earnings may be subject to an activity multiplier that rewards consistent onboarding effort. When enabled, the multiplier is recalculated monthly based on the number of new businesses you onboard in the preceding 30 days. Partners who do not onboard any new businesses for 90 consecutive days will be marked as inactive. While inactive:

• New commission generation is paused.
• Existing pending and approved commissions are not cancelled.
• Portal access is retained.
• Your partner link remains functional — onboarding a new business automatically reactivates your account.

Additionally, if your overall referral churn rate exceeds 40%, your multiplier may be capped until the rate improves.

5. Clawback Policy

If a referred business cancels their subscription within 60 days of subscribing, all commissions earned from that referral will be reversed ("clawed back"). Clawback amounts are deducted from your next payout or, if no future payout is available, invoiced to you.

6. Bonuses

The Program includes the following bonus mechanisms:

• Onboarding bonus: A fixed bonus per business where you complete partner-assisted onboarding (helping the business set up their account).
• Retention bonus: A one-time bonus (equal to one month's commission) when a referred business remains actively subscribed for 6 months.
• Milestone bonuses: Cash bonuses awarded when you reach onboarding milestones (specific thresholds communicated in your portal).

Bonus amounts and eligibility criteria are visible in your partner portal and may be adjusted with 30 days notice.

7. Attribution

Referrals are attributed via your unique partner link. Attribution uses a 30-day cookie window with first-touch priority. Self-referrals (referring your own business or businesses under the same corporate entity) are prohibited and will result in commission reversal and potential program termination.

8. Payment Terms

• Commissions are calculated monthly and paid on the 15th of the following month.
• Payment is made via bank transfer to the account specified in your partner portal.
• You must meet the minimum payout threshold for your tier. Amounts below threshold accumulate.
• Ciniter reserves the right to withhold payment pending fraud investigation.

9. Tier Assignment & Changes

Tier assignment is at Ciniter's sole discretion. Automatic upgrades may occur when milestones are achieved. Ciniter may downgrade your tier if activity requirements are not met, with 30 days written notice. Tier changes affect future referrals only — existing referrals retain their original rate snapshot.

10. Conduct & Restrictions

Partners must not:

• Make false or misleading claims about Ciniter Hub.
• Use spam, unsolicited messaging, or deceptive practices to generate referrals.
• Bid on Ciniter brand keywords in paid advertising without written approval.
• Refer businesses they know to be fraudulent or ineligible.
• Share confidential program information (rates, internal materials) publicly.

11. Intellectual Property

Ciniter grants you a limited, non-exclusive, revocable license to use Ciniter Hub branding materials provided through the partner portal for the sole purpose of promoting Ciniter Hub to potential clients. All IP remains the property of Ciniter Nigeria LTD.

12. Confidentiality

You agree to keep confidential all non-public information shared through the Program, including commission rates, internal roadmaps, and partner-specific materials. This obligation survives termination.

13. Termination

Either party may terminate participation with 30 days written notice. Ciniter may terminate immediately for breach of these terms. Upon termination:

• Your partner link is deactivated.
• Portal access is revoked.
• Pending approved commissions will be paid per normal schedule.
• Unapproved commissions are forfeited.
• You must cease using all Ciniter branding materials.

14. Limitation of Liability

Ciniter's total liability under this agreement shall not exceed the total commissions paid to you in the 12 months preceding the claim. Ciniter is not liable for indirect, incidental, or consequential damages.

15. Modifications

Ciniter may modify these terms with 30 days notice via email. Continued participation after the notice period constitutes acceptance. Material changes to commission rates require re-acceptance in the partner portal.

16. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through arbitration in Lagos, Nigeria.
